Preparation and registration of the documents on making changes to the constituent documents, as well as making the changes in the facts recorded

Any changes made to constituent documents of branch or representative office of national or foreign NGO, as well as any subsequent changes in the facts recorded should be registered. For registration of the change, an application must be submitted to the Ministry of Justice of the Republic of Azerbaijan within 40 days from the date of the change. (Sample 1)

The application must be signed and stamped by the authorized person. Name of organization, organizational-legal form, date and number of registration, legal address, as well as the changes (changes in the name of organization, founders, organizational-legal form, legal address, subject of the activity, legal representative, and charter capital and etc.) must be stated in the application and should not the following: “The facts submitted to be registered and the documents submitted to be kept are correct. I know the legal definition of responsibility for giving false information.”

Following documents are attached to the application:

  • Decision on approving the changes in the founding documents and further changes in the facts recorded in the registry;
  • The documents approving the changes in the founding documents, further changes in the facts recorded in the registry and number of members of Public Union;

The following documents are submitted depending on the changes:

  1. If legal address is changed, the document concerning new address;
  2. If legal representative is changed, copy of the document confirming the identity of the legal representative;
  3. If the founders are changed – applications of quitting and entering founders;
  4. If the amount of property share of charter capital and founders is changed in the fund – corresponding auditor opinion or bank receipt, or application, agreements on purchase-sale of property share and etc.);
  5. The document indicating changes or amendment made to the Charter (or Statue) and others (2 copies). (Sample 2)
  6. Documents related to extension of the agreement on state registration of representative offices or branches of foreign non-governmental organizations (application, decision of lead organization, protocol on the extension of the agreement);

The changes made in founding documents of representative offices or branches of NGO and foreign NGO, as well as any further changes in the facts recorded in state registry about them are valid after state registration. Representative offices or branches of NGO and foreign NGO cannot carry out any activity on the basis of changes not effective yet.
